Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the Yallup mobile application ("App"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not use the App.

2. Eligibility

You must be at least 13 years of age (or 16 in the European Union) to use the App. By using the App, you represent and warrant that you meet this requirement. Users between 13 and 18 must have parental or guardian consent.

3. Account Registration

• You are responsible for maintaining the confidentiality of your account and for all activities that occur under your account.
• You agree to provide accurate, current, and complete information during registration and to update such information as necessary.
• You may not create an account on behalf of another person without authorization.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the App in any way that violates applicable laws or regulations
• Harass, abuse, stalk, threaten, or harm other users
• Post or share content that is defamatory, obscene, hateful, or discriminatory
• Impersonate any person or entity
• Attempt to gain unauthorized access to the App or its systems
• Transmit viruses, malware, or other harmful code
• Scrape, crawl, or use automated means to access the App
• Use the App for commercial solicitation without our written consent
• Interfere with the operation of the App or servers

5. User Content

• You retain ownership of content you create and share through the App (e.g., trip details, messages, photos).
• By sharing content, you grant Yallup a non-exclusive, worldwide, royalty-free license to use, reproduce, and display your content solely for operating and improving the App.
• You are solely responsible for your content and represent that it does not violate any third-party rights or applicable law.
• We reserve the right to remove content that violates these Terms without notice.

6. Trips and Group Features

• When you create a trip, you act as the trip organizer and are responsible for managing trip members and content.
• When you join a trip, your profile information (name and photo) will be visible to other trip members.
• Yallup is a coordination tool only. We are not responsible for the actual planning, execution, travel arrangements, or safety of any trip.

7. Intellectual Property

The App, including its design, code, trademarks, logos, and content created by us, is owned by Yallup and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

8. Third-Party Services

The App integrates with third-party services (e.g., Firebase, mapping services). Use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

• THE APP WILL BE UNINTERRUPTED OR ERROR-FREE
• DEFECTS WILL BE CORRECTED
• THE APP OR ITS SERVERS ARE FREE OF VIRUSES OR HARMFUL COMPONENTS

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YALLUP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF YOUR USE OF OR INABILITY TO USE THE APP.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Yallup and its affiliates, officers, and employees from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of your use of the App, your content, or your violation of these Terms.

12. Privacy

Your use of the App is also governed by our Privacy Policy. Please review it carefully.

13. Modifications to the App and Terms

We reserve the right to:

• Modify, suspend, or discontinue the App at any time
• Update these Terms at any time

Material changes will be communicated via in-app notification. Continued use after the effective date constitutes acceptance of the revised Terms.

14. Termination

We may terminate or suspend your account and access to the App at our discretion, without notice, for conduct that violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the App ceases immediately.

15. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with applicable law. Any disputes arising under or related to these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration or the courts of competent jurisdiction.

For users in the European Union: Nothing in these Terms limits your rights under applicable EU consumer protection law.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Yallup regarding your use of the App and supersede all prior agreements.
